Welcome to Broaddly. These Terms and Conditions ("Terms") govern your use of broaddly.ca and any advertising, sponsorship, or driver partnership services provided by Broaddly ("Broaddly," "we," "us," or "our"), a Metro Vancouver-based sole proprietorship. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes will be subject to the exclusive jurisdiction of the courts of British Columbia.
2. Our Services
Broaddly operates a Digital Out-of-Home (DOOH) advertising network, delivering entertainment content and paid advertising on digital screens installed on ride-hailing vehicle headrests across Metro Vancouver. Our services include advertising placements, sponsorship partnerships, and driver screen-hosting partnerships.
3. Advertising Services
3.1 What we sell. Broaddly sells advertising placements measured in loop counts (the number of times an advertisement plays within our content rotation), not guaranteed viewer impressions, engagement, or conversions. Actual audience exposure will vary based on ridership, route, and time of day, and is outside Broaddly's control.
3.2 Plans and billing. Advertising plans (including no-commit and annual pricing tiers) are billed according to the terms selected at signup. No-commit plans may be cancelled with [30] days' written notice. Annual plans are billed for the full committed term; early termination terms will be specified in your service agreement.
3.3 Creative content. Advertisers are responsible for providing creative content that complies with applicable Canadian advertising standards and all laws. Broaddly reserves the right to refuse or remove any advertising content that is unlawful, misleading, offensive, or inconsistent with our brand standards, at our sole discretion.
3.4 No performance guarantees. Broaddly does not guarantee specific business outcomes, leads, sales, or return on investment from advertising campaigns.
4. Sponsorship Services
Sponsorship packages (Platform Friend, Community Sponsor, Presenting Sponsor) provide brand association with the Broaddly platform, including footer logo placement, branded content segments, and related recognition as described in your sponsorship agreement. Sponsorship is separate and distinct from paid advertising inventory and does not guarantee specific advertising exposure, leads, or business outcomes. Presenting Sponsor exclusivity (one per market) applies only for the duration of an active sponsorship term.
5. Driver Partnerships
Drivers who host Broaddly screens in their vehicles agree to maintain the screen in good working order, keep it powered and connected as instructed, and comply with the terms of their driver agreement. Compensation is paid according to the rate and schedule set out in the driver agreement in effect at the time. Broaddly reserves the right to remove a screen or end a driver partnership for non-compliance, damage, or misuse of equipment.
6. Payment Terms
All fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes (including GST) unless otherwise stated. Invoices are due according to the terms specified in your service agreement. Late payments may result in suspension of advertising or sponsorship placements.
7. Cancellation and Refunds
Cancellation terms vary by service tier and are set out in the applicable service agreement. Except where required by law or explicitly stated in your agreement, fees already paid are non-refundable.
8. Intellectual Property
Advertisers and sponsors retain ownership of their creative content and trademarks. By submitting content to Broaddly, you grant us a limited license to display that content on our screen network for the duration of your campaign or sponsorship term. Broaddly retains ownership of all entertainment content, platform design, and proprietary technology.
9. Limitation of Liability
To the fullest extent permitted by law, Broaddly is not liable for any indirect, incidental, or consequential damages arising from the use of our website or services, including but not limited to loss of business, revenue, or data. Broaddly's total liability for any claim arising from our services will not exceed the total fees paid by you to Broaddly in the three (3) months preceding the claim.

Broaddly is not responsible for service interruptions caused by factors outside our reasonable control, including vehicle availability, driver participation, technical failures, or third-party platform issues.
10. Indemnification
You agree to indemnify and hold Broaddly harmless from any claims, damages, or expenses arising from your breach of these Terms, your creative content, or your violation of any law or third-party right.
11. Privacy
Our collection and use of personal information is governed by our [Privacy Policy], which forms part of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. The "Last updated" date above reflects the most recent revision.
